TERMS OF SERVICE

These Terms of Service (“Agreement”) govern your access to and use of all products, services, websites, funnels, memberships, software systems, digital content, and programs operated by:

EverPro Marketing, LLC

EverPro Wellness, LLC

EverPro Affiliates, LLC

Sommers School

(collectively referred to as “Company,” “we,” “us,” or “our”).

By accessing or purchasing from any of our websites or services, you agree to be legally bound by this Agreement.

If you do not agree, do not access or use our services.

1. Scope of Services

The Company provides:

Online courses and digital education

Done-For-You marketing and automation services

Website and funnel builds

Membership sites

Email and automation systems

Coaching and consulting

Affiliate programs

Business and wellness training

We reserve the right to modify, update, suspend, or discontinue any service at our discretion.

2. Eligibility

By using our services, you represent that:

You are at least 18 years old

You have authority to enter this Agreement

You will comply with all applicable laws

3. Ownership & Intellectual Property

All content, systems, templates, branding, materials, videos, lessons, emails, funnels, strategies, and intellectual property are owned by the Company unless otherwise stated.

Purchasing a course or service grants you a limited, non-transferable license for personal or internal business use.

You may NOT:

Copy, resell, distribute, or reproduce materials

Share login access

Claim materials as your own

Reverse engineer systems

Violation may result in immediate termination without refund.

4. Done-For-You Services & Platform Use

For automation, website, and funnel builds:

Your system will be built inside your own GoHighLevel (GHL) account.

You are responsible for maintaining your GHL subscription.

Current GHL base subscription cost is approximately $97/month (subject to GHL changes).

GHL is a third-party platform not owned by the Company.

We are not responsible for platform outages, pricing changes, or third-party failures.

You own your account within GHL. However, proprietary templates and intellectual property remain owned by the Company unless explicitly transferred.

5. Payment Terms

All payments are due at time of purchase unless otherwise stated.

For subscriptions:

Billing is automatic and recurring unless canceled.

You are responsible for managing your subscription.

We reserve the right to suspend access for failed or declined payments.

6. Refund Policy

All courses and Done-For-You services include a 72-hour refund window from the time of purchase.

Refund requests must be submitted in writing within 72 hours to:

After 72 hours:

Work has begun

Access has been granted

Resources have been allocated

No refunds will be issued.

No exceptions.

Chargebacks without contacting us first may result in permanent removal of access to all current and future services.

7. No Earnings Guarantees

We make no guarantees regarding:

Income

Business results

Sales

Leads

Customer growth

Rank advancement

Your success depends on your effort, implementation, experience, and market conditions.

Any examples shared are illustrative only.

8. Acceptable Use

You agree not to:

Use services unlawfully

Violate intellectual property

Harass or defame others

Share access credentials

Interfere with system performance

Upload malicious code

We reserve the right to remove access at our discretion.

9. Third-Party Platforms

We may integrate with or reference third-party services including:

GoHighLevel

Stripe

Payment processors

Email providers

Social media platforms

We are not responsible for third-party service changes, outages, terms, or actions.

10. Limitation of Liability

To the maximum extent permitted by law:

The Company shall not be liable for:

Indirect damages

Lost profits

Business interruption

Data loss

Consequential damages

Total liability shall not exceed the amount paid to us within the two (2) months preceding the claim, or $100 if no fees were paid.

11. Indemnification

You agree to indemnify and hold harmless the Company and its owners, officers, employees, contractors, and affiliates from any claims arising from:

Your misuse of services

Your content

Your violations of law

Your breach of this Agreement

12. Arbitration & Dispute Resolution

Any disputes shall first attempt informal resolution.

If unresolved, disputes shall be resolved via binding arbitration under the Federal Arbitration Act.

You waive:

Jury trial

Class actions

Collective actions

Arbitration shall occur in the State of Utah unless otherwise required by law.

Either party may pursue small claims court where applicable.

13. Governing Law

This Agreement shall be governed by the laws of the State of Utah, without regard to conflict of law principles.

14. Termination

We may terminate or suspend access at any time for:

Violation of these Terms

Non-payment

Abuse of services

Provisions related to intellectual property, liability limitations, indemnification, and dispute resolution survive termination.

15. Privacy

Your use of our services is also governed by our Privacy Policy.

16. Modifications

We reserve the right to modify these Terms at any time. Continued use of services constitutes acceptance of modifications.
